Terms of Service

1. Master Services Overview

These Terms of Service ("Terms") govern the professional engagement and provisioning of bespoke software, systems architecture, integrations, and ongoing engineering support by Systect Inc. ("Systect") to client entities ("Client").

2. Intellectual Property & Code Ownership

Unless explicitly agreed otherwise under a Statement of Work (SOW):

• Client Deliverables: Upon full settlement of invoices, the Client owns all proprietary custom application source code, bespoke schemas, and business workflows created specifically for their organization.
• Systect Core Frameworks: Pre-existing reusable utility libraries, design components, and standard deployment scripts remain the intellectual property of Systect, licensed to the Client on a perpetual, royalty-free basis.

3. Service Level Agreements (SLAs) & Uptime

For enterprise clients enrolled in our continuous support plans, Systect commits to a 99.9% application uptime standard. Critical incidents are addressed with sub-2-hour response windows as outlined in individual service level agreements.

4. Client Data & Confidentiality

Both parties agree to hold all proprietary operational documentation, codebase secrets, and employee records in strict confidence under mutual non-disclosure obligations throughout and following the engagement term.

5. Invoicing & Payment Terms

Project milestones, sprint retainers, and maintenance schedules are invoiced according to agreed Statement of Work schedules. Standard payment terms are Net 30 from invoice receipt.
